Between: Hacky Apps LLC ("we", "us"), a Pennsylvania limited liability company, and the organisation using Bilt Base ("you").
Software: Bilt Base, a construction management application, together with its websites, mobile applications and interfaces.
These are the standing terms for using Bilt Base. You accept them by creating an account or by using the software. Nobody signs them.
If your organisation has signed a separate written agreement with us — a Subscription Agreement with an order form — that document governs and these terms fill any gaps it leaves.
You need an account to use Bilt Base. You are responsible for what happens under your account, for keeping passwords to yourself, and for the people you invite into your company's workspace.
Whoever creates the account accepts these terms on behalf of the organisation and confirms they may do so.
You must be at least 18 and using Bilt Base for a business.
Access to Bilt Base for your organisation and the people you invite, for as long as your account is in good standing.
We provide the software, host it, keep it running, back it up, and support you by email and by the chat inside the application. We aim to answer on the same business day.
Resell or rent access to somebody outside your organisation. Copy the software or try to reconstruct its source. Use it to store anything unlawful, or to break the law. Attack it, probe it, or attempt to reach another company's data. Upload material you have no right to upload.
You may not use Bilt Base to send bulk unsolicited email.
Where your plan is paid, the fee is the one shown when you subscribed or on the invoice we send you. Fees are billed in advance and are not refundable except where these terms or the law say otherwise.
Free trials are free for the stated period. We will tell you before a trial becomes a paid subscription.
Price changes. We will give you at least thirty days' notice before changing what you pay. If you do not want the new price, cancel before it takes effect.
Late payment. If an invoice goes unpaid we may suspend access after giving you notice and a reasonable chance to fix it. We will not delete your data because of an unpaid invoice without telling you first.
Tax. Fees exclude sales and similar taxes, which you pay where they apply.
You may stop at any time. Cancel from inside the application or by telling us. Your subscription then runs to the end of the period you have paid for, and does not renew. We do not refund the remainder of a period.
We may end it if you materially breach these terms and do not put it right within thirty days of us telling you, or immediately if the breach cannot be put right or the law requires it.
We may suspend an account without waiting where it is being used to attack the service, break the law, or endanger other customers' data. We will tell you why, and restore access once the cause is resolved.
You own your data. Everything you or your people put into Bilt Base — your jobs, clients, photographs, documents, prices and records — belongs to you. We claim no ownership of it. We use it only to run the service for you, to support you when you ask, and where the law requires.
Confidentiality. We treat your business data as confidential. We do not sell it. We do not share it with anybody except the service providers listed below who need it to run the software, and we do not use one customer's data to benefit another.
Improving the product. We may analyse how the software is used — which screens, how often, where it fails — to make it better. Where we publish anything from that, it is aggregated and never identifies you or your customers.
Export. You may export your data at any time while your account is open.
On ending. For thirty days after your account ends you may still ask us for an export. After that we delete your data from live systems, and it ages out of our encrypted backups within a further thirty days.
Bilt Base runs on servers in the United States. To provide the service we use:
Each receives only what it needs. We do not send your data anywhere else.
AI features. These are switched off unless you turn them on. When somebody uses one, the relevant text or image is sent to our AI provider to produce the answer. It is not used to train anybody's model.
We encrypt traffic in transit and stored credentials at rest, keep access to production limited, back up daily to a separate location, and separate every company's data.
No system is perfectly secure, and we do not claim otherwise.
If there is a breach affecting your data, we will tell you without undue delay, with what we know and what we are doing about it.
We aim to keep Bilt Base available at all times, and we deploy without taking it down where we can. We do not promise a specific uptime percentage. Planned work that requires downtime will be announced beforehand where practical.
To the software. We add and improve things continuously. We will not remove a material feature you rely on without reasonable notice.
To these terms. We may update them. If a change materially reduces your rights, we will give you at least thirty days' notice by email or in the application, and continuing to use Bilt Base after it takes effect is your acceptance. Every version is dated, and the date at the foot of this page is the one in force.
The software, its design, and everything we put into it remain ours. These terms grant you the right to use Bilt Base, and nothing else. Feedback you send us we may use freely, without obligation to you.
We warrant that we will provide the service with reasonable skill and care, and that we have the right to let you use it.
Otherwise the service is provided "as is". To the fullest extent the law allows, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
Bilt Base helps you run your business; it does not give legal, accounting, tax or engineering advice. Contracts, estimates and filings produced with it remain yours to check. Some jurisdictions do not allow certain exclusions, in which case those exclusions do not apply to you.
Neither of us is liable for indirect, incidental, special, punitive or consequential loss, or for lost profits, revenue, goodwill or anticipated savings, however caused.
Our total liability arising out of or relating to these terms, across all claims, is limited to the amount you paid us in the twelve months before the claim arose, or one hundred dollars if you have paid us nothing.
Neither limit applies to your obligation to pay fees, to either party's fraud or wilful misconduct, or to anything the law does not permit us to limit.
You will defend and indemnify us against any third-party claim arising from your data or your use of Bilt Base in breach of these terms.
We will defend and indemnify you against any third-party claim that Bilt Base infringes their intellectual property, provided you tell us promptly and let us handle it.
Governing law. The laws of the Commonwealth of Pennsylvania, without regard to conflict of laws rules.
Venue. The state and federal courts in Philadelphia, Pennsylvania, and we each consent to their jurisdiction.
Force majeure. Neither of us is liable for a delay or failure caused by something beyond reasonable control.
Whole agreement. These terms are the entire agreement about Bilt Base between us, and replace anything said beforehand.
Assignment. Neither of us may assign these terms without the other's consent, except to a successor of substantially the whole business.
Severability. If a provision is unenforceable, the rest stands.
No waiver. Not enforcing something once does not waive it.
Notices. In writing, by email — to you at the address on your account, and to us at the address below.
No partnership. Nothing here makes us partners, or either of us the other's agent or employee.
